PHOTOGRAPHY SERVICES AGREEMENT

Please read the entirety of this Photography Services Agreement before agreeing and signing below.
1. Scope of Work
Photographer agrees to provide the following services to the Client:
Photography Session Type:
Heirloom Portrait Session
A photoshoot at the Client’s home with professional lighting
Up to 2 children photographed
At least 3 final images of each child. At least 5 final images if of a single child
2 fine art prints from a professional photo lab, 5x7” on 8x10” matte.
Guidance in selecting and purchasing further fine art printing and wall art, if Client wishes
2. Payment Terms
Deposit: A scheduling deposit of $25 USD is due at the time of signing this Agreement to secure the booking.
Remaining Balance: The remaining balance of $225 is due by cash or digital payment within 3 days after the photoshoot date.
3. Cancellations and Refunds
If the Client cancels the event or photography session more than 48 hours before the scheduled date, the deposit will be refunded, minus any non-refundable expenses incurred by the Photographer.
If the Client cancels the day of the event, the deposit is non-refundable but is transferable to a re-scheduled photoshoot.
If the Photographer cancels due to illness, emergency, or force majeure, the Client will receive a full refund and a reschedule offered.
4. Rights and Usage
Copyright: The Photographer retains the copyright to all photographs taken during the session.
Usage Rights: The Client is granted a non-exclusive, non-transferable license to use the photographs for personal purposes only (e.g., prints, social media). The Client may not sell, license, or commercially exploit the images without express written permission from the Photographer.
5. Delivery of Images
The Photographer agrees to deliver the final edited images to the Client within 3 weeks following the photoshoot, via online file download.
The Client is responsible for reviewing and confirming receipt of the images.
6. Liability
The Photographer will not be held liable for any accidents, injuries, or damages that occur during the event, unless caused by the Photographer’s negligence.
The Photographer is not responsible for circumstances beyond their control, including but not limited to weather, third-party interference, or equipment malfunction. If an unforeseen, uncontrollable issue occurs to make the photoshoot or image delivery impossible, the Photographer and Client may schedule a re-shoot.
If a child being photographed refuses to participate or is unwilling to smile, the Photographer may offer a re-shoot but this is not required or promised.
7. Indemnification
The Client agrees to indemnify and hold the Photographer harmless from any claims, damages, liabilities, and expenses arising from the Client’s actions or any breach of this Agreement.
8. Force Majeure
Neither party will be held liable for any failure or delay in performing its obligations under this Agreement due to circumstances beyond their control, such as natural disasters, war, strikes, pandemics, or other force majeure events.
9. Amendments
Any amendments or modifications to this Agreement must be made in writing and agreed upon by both Parties.
10. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of Oregon, without regard to its conflict of laws principles.
12. Entire Agreement
This Agreement contains the entire understanding between the Parties. Any prior discussions or agreements, whether written or verbal, are superseded by this Agreement.
